1. Introduction

This Agreement (“Terms of Use”) governs your access and use of the website www.weareteamup.com (the “Site”) and related services (collectively, the “Services”) offered by Teamup Remote Talent Staffing, LLC (“Teamup”, “We”, or “Us”). By accessing or using the Site or Services, you agree to be bound by these Terms of Use. If you disagree with any part of these Terms of Use, you may not access or use the Site or Services.

2. Acceptance of Terms

Your access and use of the Site constitutes your acceptance of these Terms of Use. We reserve the right to modify these Terms of Use at any time without prior notice. Your continued use of the Site following any modifications constitutes your acceptance of the modified Terms of Use. You are responsible for reviewing the Terms of Use periodically to ensure you are aware of any updates.

3. Definitions

  • Affiliates: Our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers.
  • Confidential Information: Non-public information you provide to Teamup, excluding information that is public knowledge, known to Teamup before disclosure, independently developed by Teamup, or required to be disclosed by law.
  • Intellectual Property: Patents, trademarks, copyrights you own, and any insights, knowledge, or ideas related to the creation of Work Product.
  • Services: The website www.weareteamup.com and related services offered by Teamup.
  • Site: The website www.weareteamup.com.
  • TeamUp Remote Team Member: A skilled remote worker recruited, trained, and matched with clients by Teamup.
  • Work Product: Original work created for you by a TeamUp Remote Team Member, such as research projects, reports, templates, etc

4. Overview of Services

Teamup offers remote talent staffing services. These Terms of Service outline specific terms for these services. Violation of these terms may result in account termination. Specific terms include:

  • Non-Transferability: Service requests and tasks are assigned to your TeamUp Remote Team Member and cannot be transferred. You may purchase a plan for others, but account ownership is not transferable.
  • Flexible Working Hours: You are billed according to the “Statement of Work” and/or actual time worked by your remote team member/s.
  • Price Adjustments: Teamup reserves the right to adjust monthly subscription prices without notice after the contracted period. Additional fees may apply for custom solutions.
  • Payment Issues: If your payment is declined, you have 60 hours to resolve the issue. Failure to do so may result in service termination or suspension.
  • Material Breach: Any agreement for services requiring payment outside of Teamup constitutes a material breach and may result in cancellation without a refund.

5. Term

Teamup’s plans are structured as monthly agreements, starting on the onboarding date of your remote team members. Specific industries or groups may have different time commitments.

6. Requests / Tasks

Requests (tasks) for your TeamUp Remote Team Member must be submitted by phone, email, or SMS. You can submit multiple tasks at once. You will have one dedicated TeamUp Remote Team Member, with the option to request a change at no additional cost within a reasonable timeframe (usually 1-2 weeks).

If you feel your service could be improved, contact us by phone or email at hello@weareteamup.com.

8. Ownership and Confidentiality of Work Product

For Work Product created by a TeamUp Remote Team Member, Teamup grants you a non-exclusive, royalty-free, perpetual, irrevocable, non-transferable license to use the Work Product for your personal and commercial purposes.

You retain sole ownership of your Confidential Information and Intellectual Property. Teamup will remove any Confidential Information or Intellectual Property incorporated into the Work Product before any use or disclosure by TeamUp to a third party.

9. Termination of Service

We reserve the right to terminate your service at any time, for any reason. Rare exceptions for termination include:

  • Constant requests for tasks outside the service plan without feasible solutions.
  • Abusive behavior towards TeamUp Remote Team Members or others.
  • Requests for illegal or unethical tasks.

Clients must submit a written termination request at least 5 business days before the beginning of the next service period.

10. Non-Solicitation of TeamUp Remote Team Members:

During your membership with TeamUp Remote Talent Staffing, LLC (the “Company”) and for [insert duration] following the termination of your membership, you agree not to directly or indirectly:

  • Solicit any TeamUp remote team member assigned to you or who was assigned to you within the preceding [insert duration] to leave the Company and work for you directly or indirectly; or
  • Solicit any TeamUp remote team member referral, friend, family, or acquaintance to leave the Company.

11. Liquidated Damages:

If your solicitation causes a TeamUp remote team member to leave the Company and work for you without the Company’s consent, you agree to pay liquidated damages equal to [insert amount], which represents a reasonable estimate of the damages the Company would likely incur due to such breach.

12. Data Rights and Protection:

The Company respects your privacy and data protection rights. Upon termination of your membership, you may request the erasure of your personal data from our records.

The Company adheres to applicable data protection laws, including but not limited to [list relevant laws, e.g., General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA)].

13. Employee Benefits:

The Company provides employee benefits (excluding spot or performance bonuses) to TeamUp remote team members. Neither the Company nor TeamUp remote team members participate in client-sponsored benefit plans. If the Company or a TeamUp remote team member becomes eligible for such plans, we waive participation rights.

14. Limitation of Liability:

TeamUp Remote Talent Staffing, LLC and its Affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, incurred by you or any third party, whether in an action in contract or tort, arising from your access to, or use of, the Site or any content provided on or through the Site.

In no event shall the total liability of TeamUp and its Affiliates to you for all damages, losses, and causes of action (whether in contract, tort, or otherwise) arising from these Terms of Use or your use of the site exceed the amount paid by you, if any, for accessing the site or using the services.

TeamUp assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction, unauthorized access to, or alteration of, any user communication. TeamUp is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the Site or combination thereof, including any injury or damage to users or to any person’s computer related to or resulting from participation or downloading materials in connection with the Site.

TeamUp cannot be held liable for any inaccuracies, errors, or outcomes resulting from tasks completed by our remote team members, as they report directly to the client. Our role is to facilitate and manage the connection between clients and remote team members, ensuring effective communication and task completion. While we strive to maintain high standards and provide training and oversight to our team, the ultimate responsibility for the accuracy and quality of work lies with the client who directs the tasks. TeamUp acts as an intermediary platform, empowering clients to manage their tasks efficiently, while emphasizing that any results or information provided by our remote team members are advisory in nature and should be verified and approved by the client before use. This structure ensures transparency and accountability, safeguarding both parties’ interests within the scope of our service agreement.

These Terms of Service constitute the entire agreement between TeamUp, LLC and the client concerning the use of this site and supersede all prior agreements, representations, and understandings, whether written or oral.

These terms constitute the entire agreement between you and the Company and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
